Terms and Conditions (T&C)
These Terms and Conditions govern the contractual relationship between SheetPilot Pro / Renzo Verri (“SheetPilot Pro”) and customers using our digital services and software solutions.
1. Scope
These T&C apply to all products, software modules, and services provided by SheetPilot Pro. Customer terms that deviate from or supplement these T&C are not recognized unless they have been expressly confirmed in writing by SheetPilot Pro.
2. Conclusion of Contract
A contract is formed when registering within the SheetPilot Pro web or desktop client, by placing a written order, or by using paid features. By entering into a contract, the customer accepts the version of these T&C that is valid at that time.
3. Usage Rights
SheetPilot Pro grants a non-exclusive, non-transferable right to use the software for the duration of the contract. The software may only be used for the customer’s own business purposes. Passing on or sublicensing access to third parties is prohibited.
The customer must keep access credentials confidential and prevent unauthorized use. In the event of misuse, SheetPilot Pro may suspend access.
4. Services and Availability
SheetPilot Pro operates the services with professional care. Maintenance work, security updates, and further developments may require temporary interruptions. We will notify customers of planned maintenance windows whenever feasible.
5. Prices and Payment Terms
The applicable prices are those published at the time of ordering or agreed individually. All prices are quoted in Swiss francs (CHF) excluding any applicable taxes. Unless otherwise agreed, invoices are payable within 30 days. Access to the service may be suspended if payment is overdue.
6. Term and Termination
Contracts run for the agreed term. Unless otherwise specified, a contract is automatically renewed for the original term unless it is terminated in writing at least 14 days before the end of the current term.
The right to terminate for good cause without notice remains unaffected. Notices of termination must be submitted in writing or via the customer portal.
7. Warranty and Liability
SheetPilot Pro provides services with the required diligence but does not guarantee uninterrupted error-free operation. In the event of significant functional issues, corrective action will be taken within a reasonable period at no extra charge.
Liability for slight negligence, consequential damages, indirect losses, or lost profits is excluded to the extent permitted by law. Liability for personal injury as well as for intentional acts and gross negligence remains unaffected.
8. Support
Support inquiries are generally answered within two business days. Extended service level agreements can be agreed individually.
9. Data Protection
Protecting personal data is important to us. OurPrivacy Policyforms an integral part of these T&C.
10. Final Provisions
If any provision of these T&C is or becomes invalid, the validity of the remaining provisions shall remain unaffected. Amendments or supplements must be made in writing.
The exclusive place of jurisdiction for all disputes is the Canton of Bern, Switzerland. Swiss substantive law applies.
